ProfileDirector, Corporate Counsel The candidate drafts and negotiates binding contractual agreements between the organization and third parties, including but not limited to, corporate sponsor agreements, cause-related marketing program agreements, independent contractor and consulting agreements, vendor contracts, intellectual property licensing agreements, service agreements, grant contracts, domestic and international affiliation agreements and agreements. Ensures that a robust and comprehensive compliance program is in place. Coordinates firm systematic adherence to laws, regulations, internal policies and industry standards. Advises firm and its Local Affiliates on a variety of legal issues encountered in their day-to-day operations, including corporate governance, contract negotiation, non-profit tax and other regulatory matters. Also, drafts and interprets corporate governance documents and policies and procedures for firm and its Local Affiliates. Provides legal counsel and advice to the firm staff and management on issues of legal and business significance. Prepares and conducts risk management training for firm staff to increase awareness of, and compliance with, legal and regulatory mandates. Monitors and oversees compliance with all laws and regulations affecting firm 501(c)(3) and non-profit status. Assists in the management of all litigation filed against firm and its Local Affiliates, including coordination with and oversight of outside counsel and applicable insurance carriers. Performs other duties as assigned and works in cooperation with the other members of the Legal Department. Must have Law degree with 3+ years of in-depth experience in contract law and administration. Experience should be broad in nature and address transaction, contracts, regulatory, commercial and litigation practice areas is preferred. License to practice law in the state of Texas for 3+ years of the above-referenced experience is preferred. Excellent written and verbal communication skills is desired. Prior experience working with a not-for-profit organization and experience with cause marketing contracts is a plus.
