Senior Corporate Paralegal (Public Company Legal Department) The candidate will be responsible for Supporting and assisting the General Counsel and Deputy General Counsel in the corporate secretarial function, including corporate and regulatory filings, drafting resolutions and policy documents, maintaining minute books and other corporate records; Assisting in scheduling, preparation and execution of board and executive meetings, including maintaining board calendar, coordinating with executives and board members on travel, logistics, and information requests, assisting with preparation and posting of meeting materials to board portal, taking meeting minutes, and tracking follow-up action items; Organizing and maintaining corporate files, general business and commercial records and databases; Supporting internal and external counsel in corporate and commercial transactions, including mergers, acquisitions and dispositions, facility sales and leases, and special projects; Responding to both internal and external requests for corporate information; Conducting research using Westlaw, Practical Law and secondary resources; Assisting in preparing content for legal department portal on the company intranet; Preparing and maintaining trackers and presentations concerning projects being handled by the legal department; Performing some administrative and clerical tasks; and Other duties as assigned by the GC and Deputy GC.

Qualification and Experience

The candidate shall be 7+ years Paralegal experience within a Corporation’s legal group, be highly professional, organized and able to work efficiently and independently. Handle sensitive and highly confidential information with care and discretion and will be comfortable interacting with executive management and board members as well as persons outside of the company. The successful candidate will also be able to work effectively in a fast-paced and rapidly changing environment. Excellent computer skills and exceptional communication/writing skills are required. Directly related experience in a public company legal department and/or equivalent experience is preferred.
