Contracts Counsel Responsibilities: Guide internal clients through the zen of deal making and contracting. Draft, review and negotiate commercial agreements with external partners (insertion orders, restaurant agreements and amendments) vendors (IT, SaaS, services, sales, product), marketing agreements, and NDAs. Craft, develop and maintain processes, playbooks, workflows, and trainings for a variety of contracting activities. Assist with certain legal operations for legal department systems (i.e. document storage, template management, workflows, contract and legal matter management systems) and automation across contract and other legal matters.

Qualification and Experience

Qualifications: JD Degree from a nationally or internationally-recognized law school. 2+ years’ experience of contract review. Ability to read, understand, review and draft contractual terms using a standard playbook; experience in redlining and negotiating agreements. Prior experience working directly with partners throughout an organization including commercial sales, marketing, and/or customer service. Outstanding facility with spotting issues, assessing and communicating risks, making common-sense decisions in the face of ambiguity, and finding flexible/creative solutions to achieve business goals. Ability to balance multiple matters simultaneously and to respond quickly to shifting priorities under tight timelines. Highly motivated and inventive with the ability to work proactively and independently. Excellent judgment, high integrity, and strong verbal and written communication skills, interpersonal skills, and a “can-do” attitude. Flexibility and openness to tackling tasks in new or unfamiliar areas of the law. Prior experience working at a technology company a plus. Language skills and/or multijurisdictional experience a plus.
