Legal Analyst The candidate will be a key member of the Corporate Secretary team, who leads governance-related projects and performs monitoring, review and evaluation of ongoing legal issues. Will draft, review and revise organizational documents and consents, including certificates of incorporation, by-laws, charters, and operating agreements. Assist with subsidiary governance and related matters including creation of new entities and dissolution of current entities, ensuring election or appointment of appropriate officers and directors, filing of appropriate state documents, and updating of department records. Assist with corporate organizational and transactional matters, including drafting organizational and operative documents (e.g., certificates of incorporation, by-laws, charters and operating agreements) and consents for board and shareholder action. Conduct reviews of various transactional documents including shareholder, subscription and investment management agreements and assist with the analyses of key provisions. Assist with the coordination and execution of board and shareholder meetings, including the preparation of agendas and meeting materials, recording minutes, maintaining follow-up logs and drafting annual reports. Ensure accurate maintenance of corporate records. Review and prepare filings with the New York State Department of Financial Services. Document procedures, draft policies and develop reporting for various company / department initiatives.
Qualification and Experience
The candidate should preferably have a B.A./B.S. degree. Must have 8+ years of experience as a corporate paralegal. Should also have 2+ years of entity management experience with 1+ year of project management experience. Financial services and/or public company corporate governance experience is preferred. Prior experience with entity management systems, especially CSC Navigator, is desired. Prior experience with project management tools, including Workiva/wDesk, is an asset. Prior experience with Board portals, including Diligent, is a plus. Should preferably have familiarity with: Delaware corporate statutes; New York Insurance Law; subsidiary governance and best practices; and investment products including private equity investment vehicles and mutual funds.
