General Counsel The candidate provides general legal advice to the firm President and Chief Executive Officer, the firm Board of Directors and the other firm departments and subsidiaries. Assists firm departments and subsidiaries in analyzing, negotiating and drafting contracts and other legal agreements. Provides legal advice regarding labor and employment matters and assists in the resolution of such matters. Supervises and directs litigation and alternative dispute resolution regarding claims on behalf of and asserted against firm and its subsidiaries, including the analysis and negotiation of settlement. Provides ongoing review of current policies and procedures for compliance with local, state and federal law and to minimize firmâ€™s exposure to liability. Oversight of the firm corporate compliance program. Oversees and directs outside counsel conducting litigation and non-litigation matters for firm and its subsidiaries. Supervises and directs firmâ€™s representation in regulatory matters, including environmental actions, initiated against firm and its subsidiaries. Advises the firm Board of Directors and its committees in matters of corporate governance. Advises on all matters related to Small Business Administration maters and relations with SBA local office, including issues arising relating to the SBA section 8(a) program. Experience and expertise handling federal contract bid protests. Serves on the executive management team to develop overall corporate strategies of firm and its subsidiary businesses and assets.
Qualification and Experience
The candidate must have Juris Doctorate degree or LL.M. from top quality law school and strong academic record. Must have 7+ years of progressively responsible work experience in the active practice of law, ten of which must be relevant in areas relevant to firm business. Must have experience with establishment and compliance management of affiliated companies, subsidiaries, joint ventures and other legal entities. Must possess an active Idaho Bar Association license in good standing or must obtain such license within (8) eight months of hire. Must have extensive knowledge of fundamental legal principles and ability to apply principles, with an emphasis on contract law, litigation, mergers and acquisitions. Intimate knowledge of procurement trade regulation laws and standards including ITAR, FARs, DFARs, TINA and FCPA, Federal Acquisition Regulations, Defense Federal Acquisition Regulations is essential. Extensive knowledge Small Business Administration (SBA) rules and procedures, including section 8(a) qualification and compliance is essential. Broad knowledge and experience with environmental and other regulatory requirements within industries in which the company operates is essential. Strong negotiation skill is essential. Must have excellent leadership, management, supervisory and mentorship skills and excellent research and analytical skills, with a thorough understanding of legal and technical issues. Understanding and participating in the due diligence process of mergers, acquisitions and/or divestures is essential. Strong oral and written communication skills with an emphasis on the presentation of materials in a meaningful manner to the ultimate decision makers is essential.
