Senior Associate - Commercial, Real-Estate The candidate will close and subsequent servicing onboarding process, communicate with all parties involved in the transaction including, but not limited to, origination deal teams, borrowers, legal counsels, title companies and other vendors to obtain all the necessary closing items required for a successful closing and onboarding of the loan to the servicing system. Will coordinate of the preparation of settlement statement for newly originated loans, note purchases and note sales, etc. Confirm post-closing obligations are fully documented and track the timetable for satisfaction. Ensure loan origination enterprise systems (e.g. Closer) are populated for loan closing data; ensure archive systems are fully populated and maintained for life of loan. Support asset management and servicing groups post-closing in review of covenant and trigger reports to monitor loan documentation compliance. In accordance with established loan closing policies and procedures, industry guidelines and loan agreements: Perform Escrow and Reserve Analysis; Perform Interest Rate Analysis; Coordinate Insurance Certificates/Binders/Consultant Report; and Monitor Loan Document Receipt, both pre-closing and post-closing trailing documentation. Monitor deal flow (pipeline) for assigned portfolios. Assist with the resolution of title problems and other related closing issues to ensure a successful closing. Ensure appropriate approval and/or waivers of/exceptions to client’s underwriting policies and procedures are obtained and documented. Coordinate with the Document Custodian on all document delivery/inventory issues. Properly update legal/closing terms in clients enterprise systems and/or Cohen’s systems for new loans and, as applicable, existing loans. Participate in asset management and loan servicing handoff and introductory borrower calls (internal and external). Coordinate with legal counsel on the preparation and delivery of reconveyance and satisfaction documents in connection with loan payoffs. Monitor the timely processing of Uniform Commercial Code (“UCC”) filings by legal counsel, including UCC-1 original filings, and, as applicable, with loan servicing for UCC-3 continuations and other documentation/searches to ensure the perfection of security interests. Coordinate scanning of necessary documentation into imaging systems. Assist post-closing in maintaining priority of client-held mortgages, particularly with respect to advances. Review current processes and recommend process improvement as appropriate to enhance productivity and efficiency. Complete special projects and participate in various department initiatives as assigned. Achieve at minimum department annual hours for continuing industry training. Bachelor degree or certificate in related field or equivalent work experience is needed. Professional license/specialized training in commercial real estate title or paralegal/law is preferred. Knowledge of commercial loan systems, loan structures and hierarchies is preferred. Prior experience with Closer and/or Enterprise LMS systems are preferred. Should have 5+ years of experience reading and interpreting commercial real estate loan and legal documentation, commercial real estate loan closing processes and procedures, and lending policies, compliance and regulations. Previous complex specialty loan closing, investment commercial real estate loan closing and/or investment real estate closing documentation experience is essential. Working knowledge of loan participations and syndication is needed. Advanced proficiency in reviewing title work, surveys, collateral, lien filings, appraisals and environmental report is essential. Proficiency in drafting/completing legal forms in concert with internal and external counsel is needed. Demonstrated strong professional written and verbal communication skill is essential. Strong PC skills, including a demonstrated proficiency with Microsoft Office application is needed.
