Corporate Paralegal The candidate will prepare documents required to form corporations (both business and not-for-profit corporations), partnerships and limited liability companies in any state. Will prepare documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies. Prepare Board of Director minutes and resolutions, stock certificates, bylaws, operating agreements and shareholder agreements. Prepare franchise tax forms for attorneys review. Create and maintain corporate minute books. Working directly with attorneys and clients during closings and corporate transactions. Gather litigation and billing information to prepare draft responses to auditors' requests for information. Assist with SEC filings. Prepare/conduct UCC filings/searches. Assist with the completion and filing of SS-4 Form. Proficient in Microsoft Office 2010 and knowledge of Carpe Diem/Elite system. Bachelor's Degree and/or Paralegal Certification is advantageous. Should preferably have 5+ years of corporate paralegal experience. Knowledge of principles and practices, legal terminology and research technique is needed. In depth knowledge of local, state and federal laws and regulation is advantageous.
