Legal Counsel II-Transactional
Duties: Responsible for the research, analysis, support and compliance regarding various contractual and transactional matters associated with new strategic partnerships. Provide analysis and support on legal issues to include strategic partnerships, vendor services and corporate transactions. Administer and manage transactional work, to include drafting, negotiating and reviewing corporate contracts and agreements which reflect business priorities and necessary protections. Resolve issues that arise in existing relationships and handle pre-litigation legal disputes and inquiries and advise on breach of contract matters. Advise company executives on legal and regulatory implications for a wide range of operational issues. Monitor and analyze changes to laws and regulations to ensure continued company compliance. Mitigate risk and maximize company opportunities by identifying legal pitfalls and trends. Keep the company abreast of applicable changing laws and regulations. Provide ongoing accurate and timely legal support in a professional manner to a cross-functional group of internal clients.

Qualification and Experience

Requirements: JD Degree. Admitted to state bar and actively licensed to practice law. 3+ years of strong corporate or transactional law experience with a major law firm or in-house legal department. Ability to independently research and analyze issues and provide clear guidance to internal clients regarding potential legal risk. Capability to think strategically and understand the business impacts of different legal courses of action. Exceptional interpersonal and communication skills; must be able to interact with, and inspire confidence in, individuals at all levels of the organization. Must demonstrate judgment, tact, diplomacy, and cooperation when dealing with people at all levels, internal and external of the business. Excellent organizational skills with the ability to manage multiple projects at once, follow through, and meet deadlines.
