Legal Assistant â€“ Paralegal The candidate should have Supports the SVP, General Counsel and VP, Associate General Counsel in all aspects of the daily operational and administrative needs of the Legal Department. Manages office and facilitates day-to-day workflow; researches and responds to correspondence; provides paralegal support to attorneys, and coordinates details on various pending issues with appropriate parties. Supports SVP, General Counsel, VP, Associate General Counsel and outside counsel in the preparation of documents in compliance with corporate governance requirements for the holding company, the Bank, and other affiliates. Coordinates Legal Department preparation for all Boards meetings and supports VP, General counsel and outside counsel in preparation for Annual Meetings of the holding company and the Bank including production of the proxy statement; supports VP, General Counsel and outside counsel in preparation of SEC filings, Section 16 stock transactions, and 8-K filings. Assists with annual regulatory examinations. Maintains detailed corporate records and files. Supports SVP, General Counsel, VP, Associate General Counsel and outside counsel in the preparation of regulatory applications for mergers, acquisitions, and de-novo branches, as well as review of all related contracts, leases, and insurance policies. Assists SVP, General Counsel in preparation of annual Legal Department budget, and provides monthly analysis of budget, including outside legal fees and expenses. Coordinates and oversees outside counsel firms handling retail foreclosure and collection matters in all regions across the Bankâ€™s business footprint, including assistance with preparation of demand letters and filing of foreclosure actions as needed, and supports SVP, General Counsel and VP, Associate General Counsel in coordinating and overseeing outside counsel firms handling of liability claims, employment matters and other claims and lawsuits filed against the company, the Bank and other affiliates. Assists Facilities Department with Bankâ€™s management of owned and leased properties including drafting and review of leases and related documents. Reviews vendor contracts and assists with management of contract dates for renewals, contract details, etc., through contract management system.
Qualification and Experience
The candidate should preferably have 4 year college degree preferred. Paralegal certification or equivalent experience. Should have 5+ law firm or in-house legal experience required. Prior paralegal experience. Excellent computer skills, is must. i.e., Word, Excel, PowerPoint. Considerable ability to manage highly confidential and sensitive information while working in a focused, fast-paced environment.
