General Counsel
Duties: Partners with management to drive business results while making risk-appropriate decisions. Ensures protection of the organization’s legal rights utilizing broad familiarity with most major legal disputes. Manages legal, compliance, and corporate affairs for the Region, navigating the different business models and organizations in the many jurisdictions, as well as the shared responsibilities with the central Legal Function (e.g. IPR, Corporate Governance) and other departments (e.g. HR for labor and fiduciary, Finance for Tax, R&D for regulatory). Works cross-functionally to prepare for and address crisis scenarios. Negotiates, drafts, and reviews a variety of documents, including nondisclosure agreements, employment agreements, separation agreements, supply and distribution agreements, customer forms, leases, licenses, etc. Prevents litigation by assuring appropriate management of Legal Affairs. Oversees and partners with outside counsel, as needed, on all threatened and active litigation matters. Directs the strategy to address lawsuits or claims. Management of regulatory issues and processes including FDA, USDA, International Trade, and others to guide product development, cost reduction, application, and business risk. Manages people and financial resources allocated to the Region, including retaining, managing, and monitoring expenses for outside legal services. In conjunction with other management subject matter experts, support the development of corporate policies (compliance, document retention/destruction, anti-trust, Board governance, etc) and ensures appropriate levels of training to employees. Participates in the formulation of strategic initiatives, including mergers, acquisitions, financings, joint ventures, and strategic partnerships. Assists in negotiation, documentation, and due diligence of all major transactions with outside counsel, as needed.

Qualification and Experience

Qualifications: JD degree (or equivalent) from an accredited law school. Licensed to practice law in Illinois (or able to become licensed immediately after hired). 10+ years of experience in the general practice of law in a private law firm or a corporate law department – Must have in-house experience. Experience in the CPG/F&B industry is preferred. Strong written and verbal communication skills required, in particular cross-cultural communication/dexterity. Intellectual curiosity coupled with strategic agility is required to excel in this position – the ability to grow and evolve as the business and the industry change. High integrity and ethics are also a must-have. Fluency in languages other than English, in particular Brazilian Portuguese, Spanish or Italian, is preferred.
