Contract Administrator Paralegal The candidate will join in-house legal team. Will administer the contract review-and-negotiation process with internal business stakeholders and outside customers and vendors and will report to the General Counsel and coordinate with the Senior Corporate Counsel. Review and revise contracts with customers, vendors, and employees to conform to Prattâ€™s contracting guidelines (including supply contracts, service contracts, nondisclosure agreements, and employment offer letters). Utilize and maintain contract forms, standard clauses, checklists, guidelines, and policies. Identify contract provisions (or the absence of provisions) that create unacceptable risk. Track document versions to ensure that the latest version accurately reflects the partiesâ€™ agreement regarding changes. Elevate complex contract issues to General Counsel and Senior Corporate Counsel and recommend solutions. Organize and file documents into our contract-review software system. Track workflow to ensure timely review by business stakeholders. Maintain workflow reports to track contract status and milestones. Report status to stakeholders. Coordinate with the CFOâ€™s office to obtain signatures and distribute to business stakeholders. Assist and file annual reports with various Secretary of Statesâ€™ offices.
Qualification and Experience
A Bachelorâ€™s degree required. Paralegalâ€™s certificate from an ABA-approved school preferred; transactional experience preferred. Should have 5 yearsâ€™ experience as a paralegal in contracts review and administration. Experience with implementing and using a contracts-management database a plus. Notary public a plus. Must have analytical, critical thinking and sound judgment skills. Should have excellent organizational skills and great attention to detail. Must have excellent knowledge of English grammar, word usage, and reading comprehension. Should have fastidious proofreading skills. Should have ability to prioritize and focus on critical tasks while managing multiple conflicting priorities. Must have excellent oral and written communication skills, including active listening and effective comprehension skills. Should have good interpersonal skills to work with senior management, peers, and outside customers and vendors. Must have strong conflict-management skills and the ability to develop trusting relationships to gain support and achieve results. Should have proficiency with MS Word and MS Excel.
