Job Overview: A leading law firm based in Parsippany, NJ is currently seeking a skilled Corporate Associate Attorney to join its expanding team. This is an excellent opportunity for a motivated individual with 4-6 years of corporate transactional experience to be part of a dynamic environment. The firm specializes in complex matters such as mergers and acquisitions, private equity, joint ventures, and other corporate governance-related issues. A collaborative atmosphere will allow the candidate to work closely with senior attorneys and clients in a variety of industries, including banking, energy, healthcare, and technology.

Duties:

• Handle a range of corporate transactional matters, including stock and asset purchases, secured lending transactions, operating agreements, and stockholder agreements.
• Draft and review non-disclosure agreements, supply agreements, purchase and license contracts, and other agreements relevant to corporate operations.
• Advise on corporate governance, securities law, regulatory compliance, and tax matters.
• Work with clients in various industries, offering strategic legal advice to ensure compliance and support day-to-day operations.
• Participate in complex M&A and private equity transactions, joint ventures, and other high-level corporate matters.
• Collaborate with colleagues and clients to resolve issues creatively and efficiently.

Requirements:

• 4-6 years of corporate transactional experience.
• Ability to work independently and as part of a team.
• Strong problem-solving skills with a proactive approach.
• Excellent written and verbal communication skills.
• Member of the New Jersey Bar in good standing.

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• Active membership with the New Jersey State Bar.

Skills:

• Corporate transactional law expertise.
• Familiarity with mergers and acquisitions, private equity, and securities law.
• Strong legal research, drafting, and negotiation skills.
