Senior Paralegal, Corporate Governance The candidate will perform continuous maintenance for the ENA corporate family comprised of approximately 200 entities located in the US and Canada, including preparation of annual reports and certifications, board and shareholder consents, powers of attorney, and entity formation, merger and dissolution documentation. Related duties include maintenance of entity and director and officer information on the companyâ€™s internal website and reporting of same to ENAâ€™s parent companies. Will provide support to ENAâ€™s transaction and finance teams in respect of corporate organizational and governance matters, including preparation of due diligence documentation, closing and other certificates, legal research, and cross border documentary execution. Support ENAâ€™s legal and regulatory compliance reporting, litigation discovery and audit-related production requirements by providing accurate and up to date corporate organizational and director and officer data necessary to complete the relevant parts of such reports and otherwise satisfy such requirements. Handle general Corporate Housekeeping matters including entity formation, entity dissolution, entity foreign qualifications and DBAs and obtaining EINS. File, copy, scan and file retrieval. Comply with all firm policies and procedures. Carry out other duties as assigned. Must have 8+ years of corporate paralegal experience in a law firm or in a corporate legal department required, preferably one involving frequent interaction with international affiliates. Paralegal certificate or equivalent work experience is required. Superior analytical, time management, organizational and communication skills essential. Should be self-directed with excellent interpersonal and written/verbal communication skills and the ability to work with individuals from a wide range of cultural backgrounds.
