Reporting to the President and CEO, this role is a true legal generalist who will provide legal advice and support to all levels of the Company, including senior management, regarding company strategies and their implementation. Job Description Provide counsel on corporate governance matters and support the Company Officers and Board of Directors; Handle the review, drafting and negotiation of a wide variety of contracts, including but not limited to technology licensing agreements, partnership agreements, non-disclosure agreements, service agreements and other strategic agreements, as needed; Assist with the management of global legal entities and the Company's legal structure, including organizing and dissolving entities and providing ongoing compliance with local legal requirements and best practices; Drafting and/or legal review of materials related to entities, including formation documents, board and shareholder meeting documentation, capitalizations and other corporate governance and compliance documentation; Coordinate legal matters with outside counsels; Work on special projects as required; Job Knowledge, Skills and Abilities Minimum of 5 years legal experience, with at least 3 years in-house experience in the following areas of practice preferred: contract/corporate law, intellectual property, risk management, employment law and litigation management and support. International business experience preferred; Experience interacting at senior level with business management; Experience in merger & acquisition (M&A) process is a plus; Excellent interpersonal skills; Excellent verbal and written communication skills, superior negotiations skills and sound business judgment; Excellent execution and organizational skills and attention to detail; Self-starter with the ability to work independently on projects; Manage multiple simultaneous projects to completion while meeting deadlines; Team player with ability to work effectively in a growing organization and interact with and command respect from Company employees. Unquestioned personal integrity; seen as a role model for ethical principles and values of the Company and practices required by law; Excellent judgment and ability to handle sensitive and confidential information; Ability to identify and use the most efficient and effective legal resources to complete the work in a timely and cost-effective manner; Strong ability to influence, provide points of views, and to listen; Strong decision making and problem-solving skills.
