Paralegal - Mutual Funds The candidate will be responsible for providing legal and administrative support to SAAMCos legal department. Will provide board management support for the retail and annuity-dedicated mutual fund boards of directors, including, but not limited to, preparing board agendas, memos, resolutions, written consents, minutes and managing online board materials. Prepare and/or provide support to attorneys in connection with SEC filings, including mutual fund registration statements, prospectus supplements, N-14 proxy statements/prospectuses, proxy statements and information statements.Support administration of blue sky and foreign custody work on behalf of the mutual funds.Responsible for maintaining key fund and adviser agreements. Responsible for recordkeeping and maintenance of fund reference library and regulatory materials; responsible for timely and accurate filing of records and ensuring compliance with recordkeeping policies and procedures. Provide general legal support to attorneys, including by preparing contracts and general legal documents; provide support in reviewing shareholder reports; provide support in completing ICI surveys/questionnaires, D&O questionnaires, and applications for D&O/E&O and fidelity bond coverage. Responsible for maintaining the mutual fund entities in good standing, including by ensuring all state law filings are completed in a timely manner; provide support on corporate governance related matters.
Qualification and Experience
The candidate should have 3+ years of experience as a mutual fund paralegal preferred, including proficiency with Form N-1A and preparing and filing mutual fund registration statements. Experience working for an investment adviser or major law firm as a paralegal is desirable. Excellent written and oral communication skills, including effective grammar, spelling and proofreading skills, strong organization and project management skills is essential. Proficiency with ArcPro or other content management system is preferred. Proficiency with Microsoft Office software including Word, Excel, PowerPoint and Outlook is required. Experience with Diligent and SharePoint is desirable. Bachelor\s Degree is required.
