Manager, Legal and Compliance Affairs The candidate will manage the proxy statement preparation process. Prepare and file Section 16 reports for directors and executive officers, Form 8-Ks and other public company documents. Will administer corporate entities, including preparing consents and other required documentation, maintaining corporate minute books and database of corporate information for Parent Corporation and subsidiaries. Assist in global compliance activities, including training support. Draft routine business agreements, confidentiality agreements and other documentation. Support global litigation activities. Provide high-level administrative support to the legal team as departmental coordinator, including external legal fee management, budgeting and interfacing with our external financial reporting and audit teams. Assists with preparation for Board of Directors meetings. Recommend and implement improvements in departmental processes and procedures. Manage Legal and Compliance Dept. Operations. Bachelor’s degree and 5+ years of experience as a paralegal/legal assistant, preferably with a public company or law firm representing public clients is needed. Demonstrated knowledge and experience in drafting/revising routine legal documents, dealing with SEC forms and filings, and handling litigation files, including responding to discovery requests are needed. Advanced knowledge of Microsoft Office products are needed. Certified Paralegal with 2-5 years working as a corporate paralegal/legal assistant is needed. Associate’s degree is needed. Knowledge of common legal language, concepts, practices, and procedures are needed. Proficient with Microsoft Office products are needed. Strong analytical skills and attention to detail is needed. Excellent oral and written communication skill is needed.
