Job Overview

A prestigious law firm based in San Diego, CA, is seeking a talented and experienced attorney to join its corporate practice group. This role focuses on advising emerging growth companies and institutional investors in venture capital transactions. The ideal candidate will have significant experience handling venture capital financings, and M&A transactions, and providing general counsel to startups on corporate matters.

Duties

• Represent emerging growth companies and institutional investors in venture capital financings.
• Handle mergers and acquisitions (M&A) transactions for diverse clients.
• Advise startups on corporate governance, formation, and day-to-day operational matters.
• Draft, review, and negotiate complex contracts and agreements.
• Collaborate with multidisciplinary teams to provide holistic client solutions.
• Stay informed on industry trends, market developments, and legal innovations.

Requirements

• Minimum of 5 years of experience in Emerging Growth/Venture Capital legal practice.
• Demonstrated expertise in representing both investors and issuers in venture capital financings.
• Substantial experience in M&A transactions and corporate advisory work.
• Prior experience at an AmLaw 100 firm is preferred.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Active license to practice law in the state of California.
