Senior Managing Counsel Duties: Assist with the preparation and filing of periodic and annual reports and other securities-law filings, including those on Form 10-K, Form 10-Q, and Form 8-K. Ensure compliance with SEC and NASDAQ rules and requirements, including Regulation FD and insider trading. Support the preparation of board and committee agendas, materials, minutes, and resolutions. Provide legal advice and support on executive compensation and related matters. Proactively drive the development and continued progress of corporate governance policies and processes. Work collaboratively across the company to manage the governance component of Environment, Social, and Governance topics. Provide legal counsel to the investor relations team on earnings materials and other shareholder communications. Keep abreast and advise on the potential impact of new rules, regulations, case law, market trends, and best practices in the areas of securities law and corporate governance. Effectively manage both internal direct reports and outside counsel.
Qualification and Experience
Qualifications: J.D. Degree, and be an Active Member of the Bar (any jurisdiction). 7+ years of related experience at a top law firm or in-house legal department, specifically in federal securities law and corporate governance. Very strong attention to detail, excellent judgment, communication (verbal and written), organizational and interpersonal skills, and the ability to work collaboratively across multiple groups and functions. Executive presence and the ability to interact professionally with both company leaders and the Board of Directors. Self-starter who operates independently in a fast-paced, global environment. An approachable and flexible manner with a great sense of humor.
