Assistant General Counsel III
The candidate will provide legal counsel and support to various departments of the company, including members of senior management and the company's affiliates and subsidiaries, to resolve various problems of a legal or interpretative nature including, insurance regulatory, corporate governance, regulatory and statutory compliance matters, labor and employment, immigration, administrative matters, privacy and related health care law concerns, compliance matters, participating provider relations, legislative developments, and intellectual property. Will analyze, interpret and draft various legal and compliance documents, including legal opinions and associated analysis, contracts and other agreements, proposed legislation, and certain policies and procedures. Reviews, analyzes, approves and/or directs the processing of certain legal and compliance documents, as warranted and required in the operation of the department, including internal policies and procedures, materials relating to employer groups, subscribers, providers, and documents relative to other third parties, including but not limited to contracts and other agreements. Supports or oversees, as warranted, the formation, merger, reorganization and/or acquisition of certain corporate entities and related transactions and draft, where appropriate, corporate governance documents and board, shareholder or corporate member resolutions. Supports or oversees, as warranted, and with the assistance of additional and appropriate departmental staff, the company's response to litigation of certain court or administrative matters. Leads tactical legal initiatives for the Renaissance family of companies. Coordinates with General Counsel and Deputy General Counsel as needed to ensure all legal needs of Company are met. Assists in identifying and complying with all applicable state licensing laws. Assists in structuring, documenting and obtaining regulatory approvals required in connection with all business transactions including with the preparation and negotiation of applications and other filings required to obtain regulatory approval of complex business transactions, including: insurance company formations; joint ventures; reinsurance; compliance matters; and mergers and sales/acquisitions of insurance companies. Assists the Regulatory Affairs Division with rate and form filings and, if need be, counsels in connection with rate and prior approval matters. Upon requests, serves as a Director for subsidiary and/or affiliate companies. Reports to Board of Directors on significant legal matters. Performs other related assigned duties as necessary to complete the Primary Job Responsibilities as described above.

Qualification and Experience

The candidate should have Law degree. Must have admission to a state Bar and 10+ years' legal experience, with 5 years' experience as in-house counsel for an insurance company or related industry preferred. For Regulatory Affairs and Renaissance Divisions, 5+ years' experience with insurance licensing, regulatory filings, and regulatory reporting is preferred. Will accept any suitable combination of education, training or experience. Must have knowledge of corporate and regulatory law, including regulation of insurance entities. Must have knowledge of corporate law, insurance law, health and benefits law, and/or employment law preferred. Strong verbal and written communication skills required.
