ProfileCommercial Counsel, Manager The candidate will, under minimal supervision, review, revise, and negotiate construction, modernization, and commercial contracts to reduce risk for company. Will review service and repair bids and contracts of various complexities. Identify areas that require modification, propose modifications, and effectively negotiate the contracts directly with customers to reduce risk to company. Review, draft and negotiate a wide range of commercial contracts for Service Front Line Sales, including NDAs, subcontracts, purchase orders, and site access. Review a wide range of commercial contracts, including NDAs, professional or consulting services, logistics, procurement, software, software licensing, third party vendor, and hotel/event agreements for Sourcing, Spares, Supply Line, Human Resources, Marketing, Finance and other support functions. Identify areas that require modification, propose modifications, and effectively negotiate the contracts directly with vendors to reduce risk to company. Provide support to Service Front Line Sales in contract negotiation to provide for proper contract acquisition and fulfillment in compliance with appropriate laws, regulations, corporate policies, business unit procedures, and customer specifications. Provide support to Service Front Line Sales on contract risk analysis during the bidding stage for service and repair contracts. Draft, review, negotiate and provide legal counsel on bids and contracts to establish or re-negotiate framework agreements with regional or local service customers. Support the company’s contract life cycle management system called the Enterprise Contract Management Solution. Assist in developing and updating contract templates and best practices for Service Front Line, Sourcing and other support functions. Analyze customer response to company terms, and negotiate directly with customer to reach agreement on Riders/Addendums to contracts. Negotiate directly with customers on the necessary insurance and/or bonds per the term of the contract. Manage a team of Contract Analysts. Plan and participate in training of company personnel in contract practices and negotiation strategies. Use Law Library to research applicable laws and regulations. Within the function group, point of contact for contractual issues for assigned area. Ensures all appropriate company personnel comply with contract management requirements. Responsible for continuous communication with and to all levels of corporate management. Assist with other Law Department tasks and activities as assigned.
Qualification and Experience
The candidate should have a J.D. degree from accredited law school. Must have 5+ years of experience in working with high profile, high exposure contracts. Some managerial experience is preferred. Should have legal skills necessary to thoroughly review and negotiate high-risk or complex contracts. Must be proficient in reading and interpreting contracts, abstracts, reports and legal documents regarding contractual issues. Working knowledge of Total Quality Management and Six Sigma tools and culture is required. Should have an understanding of all company products and service including branch related issues, shipping schedules and installation issues that are typically identified within contracts.
