Paralegal The candidate will provide legal and administrative support services to the Senior Regional Counsel and the Operations Legal team. Will be reviewing, drafting and tracking a high volume of employment, professional service contracts and other contracts that are received daily from the practices under the Senior Regional Counsel’s purview and other members of the Operations Legal team. Provide initial drafts, review, circulation and management of various contracts including, professional service agreements, employment agreements, independent contractor agreements, assignment and assumption agreements, affiliation agreements and nondisclosure agreements to be approved by Senior Regional Counsel. Draft amendments to contracts listed above as requested. The management portion of the process will include tracking the contract from the initial request through execution through use of Apttus, the company’s contract management system. Work with Business Development and Acquisition Legal Teams to assist Senior Regional Counsel with initial review and comments to professional service agreements related to pending acquisitions. Prepare termination letters for various contracts and initiate notifications of affected internal departments. Draft and assist with the management of practice contract templates, including creating and updating templates according to new company guidelines, laws or legal requirements and maintaining database for templates. Assist with managing contract workflow and online contract request system for internal client use through Apttus. This will include preparing and maintaining contract spreadsheets and reports. Establish relationships with hospital partners’ contract teams to improve efficiencies in contracting. Assist with drafting, coordinating and conducting trainings to internal clients on contract processes and procedures. Partner with Human Resources, Compliance and Finance on improving and implementing processes to mitigate liability and provide efficiencies within the department and company. Perform legal research on an as needed basis. Engage in due diligence and other activities relating to corporate development projects. Lead or participate in various legal projects and collaborate on cross-functional initiatives.

Qualification and Experience

The candidate must have Bachelor’s degree, technical certificate or the equivalent combination of education and experience. Paralegal certificate is a plus. Should have 4+ years of substantive contracts drafting, review and negotiation experience. Healthcare experience is preferred. Excellent organizational and time management skills is needed. Experience with contract management system is must. Advanced to expert in MS Word is essential. Proficiency in MS Office, including Excel, Access and Outlook is required. Excellent computer skills including competency in word processing, spreadsheet software and PowerPoint is must.
