Corporate Counsel Duties: Under minimal supervision and reporting to the General Counsel, provides a wide array of legal services to senior management and staff of Children's Hospital and Health Center and its affiliates and subsidiaries with a focus on transactional matters. Protects the organization's legal interests, works in collaboration with key stakeholders, advises organization on substantive matters including corporate, regulatory, compliance, health care and life sciences matters. Assists and advises management in negotiating and reviewing a full range of business transactions, including but not limited to real estate leasing, equipment purchases or leasing, information systems purchases or licensing, and services agreements. Drafts and reviews transactional documents, business agreements, legal filings and other documents. Develops processes and systems to evaluate and continuously improve the contracting process in collaboration with organizational leaders and other members of the Legal Department. Provides legal analysis and consultative services that helps the organization achieve its business objectives. Provides advice in a collaborative manner that is consistent with organizational mission, vision, and values and applicable laws and regulations. Conducts research and analysis into a variety of legal issues. Prepares reports, opinions, correspondence and other documents. Investigates complex issues, analyzes information, draws conclusions and provides advice or makes recommendations regarding course of action. Serves as an advisor on legal issues affecting the organization. Assists in the development and/or revision of organizational policies, procedures, and forms by reviewing and recommending revisions in conformance with legal standards and requirements. Stays current to understand the regulatory environment affecting strategy and operations and analyzes and provides information internally to guide the policy, process and procedure development. Attends meetings with administration, hospital leadership and hospital departments to provide legal advice and evaluate practices to ensure consistent application of federal and state laws and regulations, organizational policies and procedures, and the organizational mission, vision and values. Participates with members of the Legal Department in supervising the legal internship program and in being a prudent steward of organizational and departmental resources.
Qualification and Experience
Qualifications: JD Degree with current, active California State Bar license in good standing. 3 years of relevant legal experience, including significant experience reviewing, drafting and negotiating business transactions. Proficient in contracting and negotiations in a complex healthcare environment. Demonstrated knowledge of California and federal Law. Excellent interpersonal, verbal and written communication skills. Ability to work independently with minimal supervision. Preferred: 5 years of relevant legal experience in a complex healthcare environment. Experience in health plan contracting, negotiations and regulation. Experience in clinical research, grants and contracts. Experience in representing non-profit, tax-exempt entities.
