General Corporate Paralegal
The candidate will support the Legal Department on general corporate matters, including on matters related to corporate and subsidiary management/compliance, SEC filings, regulatory proceedings and initiatives, and preparation for board meetings. Will also assist with knowledge management/process improvement initiatives of the Department, such as with SharePoint, document management system and law firm engagement management. Oversees subsidiary management (i.e. filing of annual reports, acquiring qualifications and good standings) to ensure that the subsidiaries comply with various requirements of the statutes under which they were formed. Maintain database with key status of the Company's subsidiaries. Assists with various SEC filings, including conducting underlying due diligence, preparing D&O questionnaires, preparing forms 3s & 4s, and compliance filings with the NYSE. Manages administration of the Company's Insider Trading policies and practices, including managing the trading windows and stock administration. Prepares agendas and coordinates preparation of materials for Board meetings of the Company and certain subsidiaries. Assists in preparing resolutions and minutes. Assists in the gathering of information, tracking, and reporting of regulatory proceedings and regulatory reform initiatives across the Company's footprint. Assists in the development of presentations and/or training.

Qualification and Experience

The candidate must have experience in handling confidential information and documents. BA/BS degree required. Paralegal certification or equivalent practical experience ( 5 years). Must have proficiency in all Microsoft office programs including Outlook, Word, Excel, PowerPoint and SharePoint. Must have strong project management skills with ability to manage multiple projects simultaneously, and to consistently meet deadlines with high-quality work product in a fast-paced environment. Must have superior organizational/planning skills, proactive and detailed oriented.
