Position Summary The Senior Counsel position is responsible for assisting MedImpact’s General Counsel and other in-house attorneys with a large variety of legal matters. This position supports organizational stakeholders by responding to and providing guidance to questions, requests, contract reviews and audit related activities. The Senior Counsel role reviews and redrafts communications to clients, internal employees and external third parties as well as handles matters involving intellectual property and patents. This position works under the direction of the SVP Corporate Services and General Counsel. Essential Duties and Responsibilities include the following. Other duties may be assigned. Assists in-house General Counsel with a variety of legal matters and corporate development initiatives. Participates, as part of the legal team, in major legal actions and litigation/dispute resolution efforts Assists SVP Corporate Services and General Counsel with research, interviewing clients and witnesses as well as handles other details in preparation for a variety of potential dispute resolution forums Assists with drafting a large variety of documents; potentially including dispute resolution preparation and strategy; reviews contracts and other legal documents for compliance with MedImpact’s policies and regulatory requirements Responds to and assists internal clients with legal questions and/or legal guidance for client issue resolution.Assists the Pharmacy Network team in a large variety of audit-related activities Works closely with Contracts Management to ensure the appropriate language is contained in Service Agreements and other documents Partners closely with Regulatory Compliance to review regulatory requirements and proposed and pending legislation related to the PBM industry Advises corporate internal business units on patentability of inventions, infringement of patents, and validity of patents Prepares applications for patents and presents applications to U.S. Patent Office Assists in the case preparation to protect American trademarks and copyrights in foreign countries Prepares legal documents and forms, patent or trademark documents, licensing agreements, service agreements, transfer agreements and other contracts or agreements as necessary Reviews and interprets a variety of agreements to ensure they meet corporate, regulatory and legal requirements for such documents Prepares and examines contracts involving vendor services, leases, licenses, purchases, sales, insurance, etc Responsible for foreseeing and protecting company against legal risks.Performs risk assessment/risk analysis Monitors and researches regulatory requirements to ensure company-wide compliance Keeps current with emerging regulations, state and federal laws pertaining to the Pharmacy Benefit Management industry Monitors legal and regulatory development on a state and federal level; provides updates and input to management regarding laws, regulations and professional standards relating to the PBM industry Acts in a lead capacity providing advice and guidance to less experienced Attorneys Oversees and handles legal and enterprise-wide projects as assigned Education and/or Experience For consideration, candidates will need a BS/BA degree, Juris Doctor (JD) with active license to practice in California along with at least five (5) plus years’ closely related experience. Equivalent combination of education and experience will be considered. Pharmacy Benefit Management, pharmacy or healthcare (with specific pharmacy experience) industry experience is required. Pharmacy networks experience (pricing, contracts, etc.) and litigation management experience is also required. Claims data adjudication experience from a legal perspective is preferred. Computer Skills To perform this job successfully, an individual should have knowledge: MS Office (Word/Excel/PowerPoint); Internet and legal research methods; legal database software Certificates, Licenses, Registrations Licensed to practice law in the state of California Other Skills and Abilities Ability to interact with employees/management of all levels Solid business acumen, business judgment and decision-making ability Must be able to maintain confidentiality on all legal matters and sensitive issues Strong analytical and risk analysis skills Good project management skills Travel This position may require domestic travel and attendance maybe required at various local conferences and meetings.
