Corporate Governance Attorney The candidate will analyze corporate governance requirements as found in applicable securities laws, stock exchange listing standards, issuer governing documents, board and committee charters and company policies; provide support for MPC, MPLX and ANDX board meetings, including reviewing and developing agendas, and drafting resolutions, written consents and supporting materials; provide support on MPC, MPLX and ANDX securities related matters, including researching securities laws for disclosures in Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, Proxy Statements, Registration Statements, Forms 13 and Forms 3, 4 and 5; assist with review of external communications; serve on project teams in merger and acquisition, corporate structure simplification and other contexts; assist with the administration of subsidiary and joint venture entities; provide support with respect to shareholder services functions related to stock transfer and Section 16 filings; provide support on all aspects of corporate governance and investor relations matters; provide support on private and public financing transactions. Must have J.D. Degree. Must be licensed to practice law in the U.S., and be admitted to practice in Ohio or be eligible for corporate counsel practice in Ohio.
