Litigation - Foreclosure (Lender-side)
This firm is often at the top of the list of prominent Boston law firms. Large and growing, these lawyers are well-connected throughout the Boston area, and are looking to increase the reach of their influence. With beautiful offices (that seem to go on and on...) the lawyers here are generally quite happy with their practice. Why? At the associate level, lawyers are given a bit more responsibility than your average law firm lawyer, and depending on the practice group, given quite solid training and structured mentoring. Although the partners are increasingly conscious of the billable hours of their associates, they are generally accessible. In particular, several of the litigation partners bring in high level litigation work and remain very involved throughout to monitor and guide the associates participation. Debt Finance Paralegal Candidate will assist the attorneys with all aspects of leveraged finance and private equity transactions, as well as corporate acquisition and sales transactions. Duties will include: drafting officer certificates, board and shareholder resolutions and side letters; conducting lien searches and preparing summaries; ordering and reviewing certificates of good standing and corporate charters; preparing UCC filings; drafting closing agendas and organizing closing documents; tracking and organizing signature pages; coordinating closing mechanics; preparing and delivering closing binders; and, assisting with Blue Sky filings. Duties may also include: entity formation; ongoing corporate maintenance; drafting board minutes and maintaining minute books. Requirements: A Bachelor's degree/paralegal certificate, and 5+ years experience in leveraged finance and private equity transactions. Experience on both borrower and lender side of leveraged finance transactions is preferred. Experience on both borrower and lender side of leveraged finance transactions preferred. Will have strong organizational and communication skills, be capable of handling multiple responsibilities, and be able to work well in a team oriented environment. Advanced proficiency with Microsoft Word and Excel is also required.
