General Counsel
The candidate reports to President and Chief Executive Officer. Provides strategic guidance and counsel to firm senior management levels in the areas of legal and reputational risk. She/he assesses legal and reputational risk and/or liability for firm’s global operations and business development activities and guides the organization to manage the compliance requirements and/or operational liabilities for the organization. Serves as as the Secretary for the the firm Board of Directors. Ensures the day-to-day domestic and international legal needs of the organization are covered through management and coordination of outside counsel. General Counsel advises firm staff and leadership on legal liability, claims, and exposure to ensure firm properly positions and protects itself in the course of conducting its business. Activities under this scope include to: conduct individual or group meetings,; attending seminars; provide written opinions,; review and negotiate draft contracts/leases/templates; review and form policies; draft and review disclosures/solicitations; draft and produce reports/publications/releases for internal and external dissemination. Responsible for working with firm management to ensure appropriate legal resources and strategies are provided for domestic and international matters including,to,US government contract terms and conditions; intellectual property/trademark; governmental regulations and compliance; marketing and solicitation compliance; ethical standards and business conduct; tax law; employment law; immigration law; trust and estate laws; insurance compliance; real estate and property compliance; advocacy; commercial litigation; registration compliance; social enterprise; healthcare financing; non-profit status and obligations; corporate governance; internal compliance investigations. Manages and oversees the legal resources for both US and overseas law and regulations. Manages the organization’s counter-terrorism, fraud, and whistleblower programs and monitors its policies and procedures and reporting mechanisms. Prepares and manages an annual budget, and manages pro bono and outside legal services for firm. Supports and advises on compliance standards to maintain firm’s enterprise risk management program. The General Counsel helps to identify and facilitate the process to reduce areas of liability and reduce the organization's overall exposure to liability. These include surveying the regulatory and legal operating environments to determine risks for firm and recommend actions or options to mitigate such risks. Works directly with the Risk Manager on both actual and potential legal claims to determine what should be filed with the insurance carrier. She/he attends meetings of the Leadership Team, meets with senior managers and staff, and reviews program materials to assess potential organizational risks and liabilities with current and future programs/projects/activities. This includes benchmarking best practices with domestic and local counsels, other non-profit agencies' General Counsel, and third party vendors working in the NGO communities. Provides guidance and counsels the Board of Directors. She/he also serves as the Secretary to the Board of Directors to ensure appropriate governance processes are executed. She/he reviews and finalizes Board Minutes and Proceedings and documents firm By-Law Committee activities. Provides advice and guidance to the Board in its execution of its duties, and works with the Executive office to ensure Board fiduciary materials are compliant with local regulations and oversight bodies.

Qualification and Experience

The candidate should have Doctorate of Jurisprudence from an ABA-accredited law school and a license to practice law in a duly constituted governmental body of any state or territory of the USA or District of Columbia, and not suspended or disbarred. Must have 10+ years of legal practice as an attorney with 5-7 years of experience at a major law firm working with employment law, nonprofit, US Government or multilateral donor requirements, and/or corporate law. International experience in developing and emerging economy countries is preferred. Familiar with soliciting and fundraising in multi-state contexts is desired. 2-4 years of experience as in-house counsel in an international non-profit organization that receives support from multiple donors and conducts operations in multiple developing nations or equivalent experience is preferred. Should be proficient in US Government grants and contracts regulations and providing guidance and advice in governing various business types. Must have excellent verbal and written communications and negotiation skills and excellent analytical abilities and legal research skill. Must have proficiency in word processing and internet research. Knowledge of a foreign language is a plus. Experience in managing an external legal network of partners is essential. Must have experience in training and making presentations.
