Associate General Counsel
The candidate will focus on corporate transactional work including compliance, contract and litigation support, as well as various other company related legal matters. This role is an integral part of the legal team and reports to the Chief Legal Officer Assist in public company reporting and capital markets activities (i.e., 10-Q, 10-K, proxy statements, Form 3s and 4s). Support all aspects of our corporate governance programs, ongoing securities compliance, including board and committee support, securities filings, regulatory communications and other governance-related materials, including management of our domestic and international legal entities. Assist with the maintenance and compliance with our worldwide entities. Draft and negotiate commercial contracts, including master services agreements, statements of work, purchase orders, material supplier contracts, non-disclosure agreements, distribution agreements, reseller and channel partner agreements, professional services agreements, software licenses, real estate leases and data privacy agreements.. Advise and collaborate with internal teams, including engineering, sales and marketing, supply chain, HR, IT, finance and professional services teams, on a full range of issues related to commercial contracting for inbound and outbound activities Support transactional work, including mergers and acquisitions, debt and equity financings and related offerings. Advise and represent company’s interests in commercial disputes and litigation, including working effectively with outside counsel where relevant. Assist with the company’s intellectual property development and maintenance program. Support Human Resources regarding employment-related matters. Drive implementation of continuous improvements for scalable and effective processes Continuously improve the efficiency and effectiveness of legal contract support within the company while maintaining the quality and consistency of contracts across the organization. Provide support in a wide range of in-house legal services on an as-needed basis Excellent verbal and written communication skills. Experience working in a fast-paced, fluid and collegial corporate culture. Demonstrated ability to think and decide quickly, and to communicate legal issues and solutions clearly and concisely. Experience in corporate finance and capital markets transactions Experience in M&A transactions and corporate governance. Compliance and employment experience is a plus. Experience drafting and negotiating with large suppliers, technology providers and customers in the telecommunications and/or technology space . Understanding of subject areas relevant to technology contracts, including intellectual property rights, software licensing, service level agreements, data rights and privacy laws and regulations. Extremely well-organized with excellent attention to details. Ability and desire to work both collaboratively and autonomously. Flexible and willing to handle a wide variety of other matters to support the company, even if they are outside your usual comfort zone. Member of a state bar in good standing, preferably Texas. Strong ethical standards are required. J.D. degree from an accredited law school required. Licensed to practice law in a US state. 7+ years of relevant experience in a law firm and/or corporate legal department; in-house corporate legal department experience preferred.
