Managing Attorney The candidate will assure best practices for the Staff Attorneysâ€™ effectiveness including teamwork and work quality to address emerging legal and business issues related to tribal government and its business enterprises. Will provide recommendations to minimize legal and financial exposure to the organization. Assists in counseling all levels of management and Managing in diverse issues related to government and business operations, including negotiating and drafting agreements, advising on employee relations, benefits, and labor matters, assessing risk management and insurance issues, and advising on regulatory compliance matters. Supervise Staff Attorneys and potentially manage outside counsel and legal consultants, when delegated by the Chief Legal Officer. Provides recommendations to the Board to minimize legal/financial exposure of the tribal government and its business enterprises. Assures best practices and timely updates to address emerging legal and business issues related to tribal government and its business enterprises. Provides support for complex commercial transactions and relationships including real estate transactions, start-up enterprises, joint ventures, acquisitions and dispositions. Addresses tribal, federal, and state regulatory agency requirements. Advises the Board on governance and compliance issues as relates to investment funds, arrangements with financial institutions and related policies. Partner with Department leadership with contractual relations with outside vendors in a wide variety of services. May lead due diligence efforts, under the direction of the Chief Legal Officer, in various transactions and in thinking through strategic and tactical decisions with various departments and divisions. Advises on proposed and existing legislation; participates in drafting proposed state and federal legislation. Analyzes and drafts tribal laws, regulations, and policies. Provides legal support to environmental, education, cultural resources, and grants departments. Prepares legal documents related to legal entities including resolutions, by-laws, meeting minutes, and other organizational documents. Provides legal support to Office of Public Affairs on political and crisis management matters. Assists in overseeing and providing litigation support to actions filed in tribal court. Assists in participating in state and national attorney work groups on matters related to federal Indian law issues, including legislative and litigation matters. Assists in advising on intellectual property and information technology matters. Performs other duties as assigned. Should have 10+ years of legal work experience. 5+ years of prior leadership/management experience is preferred. Experience working with tribal government is preferred. Juris Doctorate degree from an American Bar Association accredited law school is required. Must be a member in good standing of the California Bar.
