General Counsel Duties: Provide legal oversight, solutions-oriented guidance and recommendations to stakeholders and the Executive Team on all legal matters affecting the Company Ensure the legal rights of the Company are protected, its legal obligations and potential exposures and risks are well defined and understood by leadership, and that the Company complies with applicable laws and regulations. Establish and maintain effective working relationships and support for corporate operations and program management staff and provide appropriate guidance and advice as necessary. Manage to a budget and minimize unnecessary outside counsel spend. Engage with the Board of Advisors and established (and future) Joint Ventures on all legal matters. Draft, review and advise on strategic relationships/partnerships. Set internal governance policies and manage the impact of external factors. Review and negotiate Company contracts with direct oversight of the Contracts function (Teaming Agreements, NDA’s, IP, 1099’s, Subcontract Agreements, etc.) Craft solutions to legal and regulatory issues in compliance with Federal and State regulations. Identify proactive solutions that will eliminate or mitigate risks. Base your decision-making process on ethics and integrity. Deal with complex, significant matters in multiple disciplines with competing priorities. As a member of the Executive Team, assist in shaping the company’s strategic goals and objectives to grow the organization. Strong alliances expected with Human Resources, Program Management, Business Development, and Finance.

Qualification and Experience

Qualifications: JD Degree and 15+ years of hands-on experience Government contracting experience, Contract department oversight with strong government contracting and negotiation skills. Corporate, in-house experience. Broad legal subject matter knowledge. Technical knowledge of Army and/or Navy customer. Proven ability to operate as a positive change agent within a business. Commercial business experience with IT/Cyber services a plus.
