Corporate - Contract Law

Contract Administrator The candidate will be responsible to oversee, monitor and act as a liaison and main point of contact for agreements and legal matters on behalf of Retirement Products and Solutions (RPS) department. This person is responsible to track and maintain each contract or agreement while ensuring they are properly entered and maintained in the appropriate tracking systems. Responsible for protecting, securing, and proper handling of all confidential data held by the company to ensure against unauthorized access, improper transmission, and/or unapproved disclosure of information that could result in harm to company or the clients. Act as a liaison and main point of contact for the corporate legal team, RPS business leaders, RPS sales teams, Finance, clients and company vendors for requests and questions relating to contracts and other legal matters (including initial contracts, confidentiality agreements, non-disclosures, addendums and amendments). Responsible to monitor and track changes and ensure the proper routing protocol is followed for review and negotiation stages. Review monthly annual service fee invoices to ensure accuracy and alignment with contracts, terminations and/or any previously agreed upon pro-rated annual fees. Responsible for securing required signatures and provide necessary copies to interested parties as stipulated on the agreement or other notices. Responsible to enter all agreements and related legal documentation in the appropriate tracking, communication and routing systems (AS/400, CLIFF, CRM). Ensure initial billing/enrollment fees are invoiced to the client in timely manner. Responsible for contract terminations, ensuring they are handled in a timely manner and proper written notice is secured, that appropriate tracking, communication and routing systems are updated and communications to interested parties are completed. Will negotiate terms and conditions of the agreements with the clients or vendors and/or their legal department (as approved by Legal and/or senior leadership). Must be able to understand and interpret the services being offered within company agreements or know who to contact if there are questions. Must stay current on corporate legal and industry expectations. Assist in the development of new and maintenance of existing agreement templates. Serve as back-up to Support Services area as needed for contract and proposal completion. Other duties as assigned.
Qualification and Experience
The candidate should have a Bachelor’s degree in business management, business administration or associate’s degree in paralegal studies with equivalent work experience. 3-5 years of experience in a legal department or law office required. Knowledge and understanding of complex legal language. Must have, or be willing to develop, an understanding of governing regulations. Ability to manage escalated calls professionally and effectively. Must be able to make dependable judgments to mitigate risk for financial, reputational or other exposures. Strong client focus with superior client service skills and experience. Microsoft Office proficiency. Excellent oral and written communication skills. Travel may be required.
