Staff Attorney The candidate will protect companyâ€™s interests in various company transactions with a primary focus on agreements for its products, services, and in agreements with various partners and suppliers to company. Further, the Staff Attorney will advise and support various corporate matters as directed by the General Counsel. Essential job functions and responsibilities: Drafting, reviewing and negotiating terms and conditions in company software license, on-demand, consulting and non-disclosure agreements. Drafting, reviewing and negotiating non-company customer-facing agreements as requested. Consulting with stakeholders in sales, finance, consulting and other company work centers as well as outside legal counsel as necessary. Drafting, reviewing and negotiating terms and conditions in vendor, development partner and alliance agreements. Interpreting existing contracts as needed. Keeping current with company standards, trends and licensing models. Ensuring that companyâ€™s interests and corporate objectives are served. Participate in other projects as requested. Develop company policy and position on legal issues. Research regulatory trends, anticipate and guard company against legal risks. Guide managers and ensure compliance with rules and regulations. Structure, draft and review reports and other legal documents.
Qualification and Experience
A J.D. degree required. 3+ years of legal experience either in-house or associate at a law firm preferred. 1+ years of experience negotiation vendor, partner and alliance agreements preferred. 1+ years of experience negotiating software license and/or SaaS, consulting and non-disclosure agreements preferred Should have excellent oral and written communication skills. Must have understanding of Intellectual Property and other recurring contractual issues relevant to IT and financial information services. Demonstrated contract drafting and negotiation skills are needed. Must have knowledge of applicable contract laws required. Ability: Ability to apply professional concepts, experience and company objectives in order to resolve contract issues in creative ways. Ability to work without direct supervision. Ability to work in cross functional teams. Proficiency in Microsoft Office and SalesForce preferred.
