Corporate Counsel Duties: Responsible for providing legal knowledge and expertise to the ISG Legal team and ISG leadership group with global responsibilities supporting numerous regional operating companies worldwide. Providing legal analysis and advice in drafting, analyzing, and negotiating commercial contracts including substantial experience in the review, analysis and negotiation of client service agreements, statements of work, technology transactions, consulting agreements, non-disclosure agreements, subcontractor agreements, intellectual property and software license agreements, cloud computing agreements (SaaS, PaaS, etc.), subscription agreements, strategic alliances and technology development and customization contracts. Reports directly to the General Counsel of ISG and is an integral part of a team located in Connecticut, Texas, Colorado and Bangalore, India. Develops innovative and creative strategies for solving complex or novel issues. Analyzes complex factual and legal issues thoroughly and creatively. Drafts written communication timely, efficiently, and in a concise, well-organized and reasoned, grammatically correct format free of typographical and spelling errors. Develops effective and efficient strategies for the collection and organization of documents and information. Handles wide variety of ISG Legal team and client communications with limited oversight. Actively listens, understands assigned projects, and appropriately follows up with questions. Effectively responds to difficult questions in a convincing, persuasive, and respectful manner. Coordinates all aspects of transaction and reports effectively to other ISG Legal and Business team members. Exercises good judgment in reviewing client contracts to determine an appropriate amount of risk to be absorbed by ISG, given the nature and context of the services to be provided. Progressively seek less assistance to resolve complex contract issues. Effectively communicates objectives and deadlines to internal and external partners on projects and monitors compliance. Analyze and explain contractual language to colleagues in the firm. Identifies issues requiring the involvement of internal and external experts; briefs and works with such other experts, as appropriate. Effectively delegates to, works with, and manages, outside legal counsel on matters requiring their support.

Qualification and Experience

Qualifications: JD Degree required from US law school. State Bar license required. 6-8 years of legal experience in an outside law firm or in house position with superior training. Experience supporting client contracts and a client sales team, and procurement contracts. Experience working in a technology and sales centric organization and the issues that arise in such environments. Must have first-chair experience drafting, reviewing and negotiating commercial contracts. Understanding of, and experience with, the sourcing and technology consulting industries. Ability to independently negotiate all significant portions of contract documents. Understands latest market positions on various key provisions. Demonstrates significant ability to reflect negotiated positions in transaction documents; effectively communicates in writing changes in transaction documents to team members. Able to make practical, creative and decisive recommendations on outstanding issues in client and procurement contracts. Familiarity with and ability to discuss confidentiality, privacy, intellectual property and business conflict issues. Willing to develop an understanding of ISG’s service offerings and core competencies. Knowledge of federal, state, and local laws. Must manage highly confidential information with professionalism. Excellent oral and written communication skills. Competent use of Microsoft Office. Proven ability to work in a fast-paced, global, multi-cultural environment. Ability to think globally regarding strategic planning and risk management. Ability to interact effectively with people at all organizational levels of ISG in multiple countries. Ability to communicate in a professional, timely, and respectful manner serving a broad range of internal clients on a global basis. Willingness to be available during non-traditional business hours to meet the needs of in-house clients in different countries.
