Director, Senior Corporate Counsel - Securities
The candidate will work on a broad range of U.S. securities and corporate law matters. Primary internal clients will include Finance, Accounting, Investor Relations, HR/Executive Compensation, Corporate Communications, and Treasury. Front-line responsibility for the Legal Department’s role in the preparation of the company’s ’34 Act filings and proxy statements for annual and special meetings of shareholders. Support in connection with governance, mergers and acquisitions, executive compensation, capital markets and other matters. Lead due diligence activities in coordination with other key company stakeholders in M&A and investment activity. Support the continuous improvement of internal policies and processes. Manage outside counsel on a variety of matters as needed. Handle special projects as requested.

Qualification and Experience

The candidate must be a lawyer qualified to practice in at least one U.S. state and have a law degree from a reputable law school. Must have 7-10 years’ experience practicing as an attorney with a national law firm or public company legal department. Experience with high tech companies preferred. Should have experience drafting public company proxy statements for annual and special meetings of shareholders, including compensation tables and compensation discussion and analysis. Must have experience reviewing and assisting in the preparation of public company ’34 Act filings, including annual reports on Form 10-K, quarterly reports on Form 10-Q, current reports on Form 8-K and Section 16 filings. Should have experience advising on Investor Relations and Corporate Communications matters, including earnings releases, press releases, and management presentations to investors and securities professionals. Experience working on merger and acquisition transactions required. Should have experience advising on governance-related matters, including stock exchange requirements and interactions with proxy advisory firms. Must have working knowledge of executive compensation arrangements, including equity plans and 10b5-1 trading plans. Periodic travel may be required.
