Senior Counsel, M&A The candidate will advise on mergers and acquisitions transactions and other strategic projects, including drafting and/or negotiating non-disclosure agreements, letters of intent, indication of interest letters, term sheets, financial and legal advisors' engagement letters, share/asset purchase agreements, joint venture agreements and other related transaction documents â€“ individually and in collaboration with outside counsel. Will coordinate diligence efforts internally at firm and with outside counsel. Partner with experts within firm and externally to review regulatory, compliance, franchise, tax, intellectual property, data privacy, cybersecurity, technology-related and other matters for transactions. Work with the broader deal team to explain and assess holistically the impact of due diligence and other regulatory and legal findings and related risks and mitigants on deal rationale, business case and overall risk profile of the company. Foster and build strong relationships with business stakeholders and department colleagues to promote cross-functional collaboration, as well as ensure seamless legal advice and support to achieve positive results for firm. Work with team members on integration of acquired businesses. Assist the Senior Vice President, Strategic Initiatives and Technology Counsel and other members of the team on administrative and organizational matters and process improvements and upgrades â€“ both within the team, as well as part of broader transformation initiatives. Assist the team with internal and external thought leadership activities.
Qualification and Experience
The candidate must have Juris Doctorate degree from an established and reputable law school and NY Bar admission. Must have demonstrated M&A and related deal experience, gained at the level of a mid-level associate in a leading law firm with a broad transactional practice. Cross-functional project leadership and management, expert drafting, communication, negotiation skills are critical. Must exercise good legal and business judgment while working to identify, develop, draft, negotiate and implement proactive and creative business oriented solutions. Must have presence, credibility and agility to interact and influence colleagues and transaction participants across functional skillsets and seniority levels.
