Associate General Counsel The candidate will provide assistance in representing the hospital and its subsidiaries and affiliates regarding corporate and healthcare transactional matters. The primary areas of responsibility will focus on supply chain, graduate medical education and research, as defined below. Supply chain encompasses contract review and related matters for product purchases, services agreement, retention of consultants and non-physician staffing. Graduate medical education will entail review of policies and contracts related to the education of residents and fellows. Research responsibilities will be a shared responsibility with a Senior Associate General Counsel that includes contract review and matters associated with clinical trials, data sharing, grants and other research opportunities. Review and revise contracts and other legal documents for compliance, accuracy and alignment with the hospital’s goals. Must have healthcare regulatory and/or corporate work experience including fraud and abuse laws (i.e., Stark law, False Claims Act, Anti-Kickback Statute) regarding arrangements with health care providers and reimbursement matters. Negotiate agreements with vendors and advises client on contracting best practices. Manage the contracting process and coordinates participation of various departments as necessary (e.g., information security, compliance, quality). Negotiate contracts with clinical study sponsors, both public and private, including drug and device manufacturers, universities, health systems, and governmental agencies. Work cooperatively with internal the hospital departments on contract issues and policy matters. Draft memoranda, reports and correspondence for internal and external use. Develop and implement templates, processes and policies to assist in streamlining work flow. Monitor changes in health care laws, regulations and governmental guidance and prepares reports. Develop and deliver client education on areas of responsibility. Demonstrate proficiency in health care corporate entity structure and relationships with its subsidiaries and affiliates. Although primarily non-litigation with a focus on transactions, contracting and research, the role may involve oversight of outside litigation counsel, working collaboratively with the Chief Counsel, Litigation/Risk Management. Serve on the hospital committees as requested. Perform other functions to assist the effective operation of the Office of the General Counsel and as otherwise requested. J.D. from an ABA accredited law school required. Broad knowledge and expertise in health care law gained through 5+ years of professional work experience required. Substantial health care law firm or in-house practice experience preferred. Excellent verbal and written communication skills required, including strength with research, analysis and problem solving, all with the goal of being client focused and dedicated to acting as a business partner, exhibiting the ability to adhere to legal requirements while contemporaneously finding creative business solutions. Computer literacy with proficiency in Word and Power Point required.
