Contracts Paralegal The candidate will help gain exposure to the breadth of responsibilities in the legal environment. Will also allow you the opportunity to manage the contracts and assist the in-house attorneys with their review. May have opportunities to review sales and procurement agreements and prepare similar/ancillary legal documents. Responsible for providing administrative support to the Legal Department, including Principal, IP & Corporate Paralegal, Associate and/or Assistant General Counsels, and the General Counsel. Accountable for contracts administration and support/maintenance of various governmental agencies requirements. Assists with contract review, drafting, and population of non-disclosure agreements, master services agreements, supplier agreements, contractor agreements, sales agreements, and other similar forms and agreements. Ensures all contract data and information is appropriately entered and saved in relevant systems and databases. Maintains and administers the company’s contract templates and assists with form completion. Interacts with internal business teams to obtain all appropriate and required internal reviews and approvals for contract terms and provisions. Responds to various internal business team questions, inquiries, or requests for clarification regarding contracts, terms/conditions, review and approval process, etc. Facilitates execution of approved and finalized contracts, including timely distribution to all appropriate business team stakeholders. Assists in development and administration of centralized contracts database. Assists with preparation of Board packages. Partners with Sales staff to understand upcoming contract needs for new deals and renewals. Maintains a knowledge base of key laws, legal processes and/or systems, and industry practices applicable to business contracts administration. Assists and/or provides input into the formulation, development, or revision of operating policies, procedures, and strategies for Contract Lifecycle Management (CLM). Participates in continuous improvement through special projects. Provides litigation support, as required.. Provides information to business teams for sales proposals. Develops knowledge of the company’s internet, intranet and maintains the contract administration site. Other duties as assigned. A Bachelor’s degree required, Paralegal Certificate a plus. Must have 5+ years of experience in contract administration. Should have 5 years of experience in medical technology, medical device, biologics, and/or pharma industry, or similar. Basic knowledge and understanding of various commercial terms and conditions, including legal and commercial implications is required.
