Director and Counsel, Governance Initiatives The candidate: Identifies, assesses and manages risk to the company by engaging, directing, and supervising outside counsel and consultants; collaborating with clients to develop mitigation strategies; overseeing investigations and directing negotiations; reviewing company policies, practices; filing governmental notices and disclosures; seeking authority and obtaining informed consent to proceed with legal matters; drafting, editing and reviewing legal documents; representing the company before courts of law, legislative bodies, governmental agencies, and other tribunals; researching, tracking and proposing bills, regulations, and legislation; overseeing and participating on interdisciplinary legal and business teams to assess and mitigate risks; preparing public disclosure statements; and pursuing insurance and indemnification. Provides legal advice to the company by providing clients with an informed understanding of the client's legal rights, obligations, and risks to allow the client to make informed decisions; developing strategies to respond to client's legal issues; counseling clients regarding legal compliance and costs of business initiatives; developing and delivering training (for example, employment, antitrust); monitoring legislation and significant legal decisions; and representing the company before various administrative and judicial bodies. Directs legal support for business transactions and projects involving risk by collaborating with internal and external stakeholders; drafting, editing and reviewing legal documents, notices, and announcements; directing the development of standards and forms for handling commonly-encountered transactions and projects; engaging, directing, and supervising outside counsel and consultants; counseling clients on alternative legal and business strategies; overseeing the development and administration of legal surveys; and formulating business initiative implementation strategies Designing, implementing and monitoring corporate governance processes and procedures by developing and maintaining knowledge of the laws and corporate governance standards (for example, contract law, tax law, accounting, securities law, bankruptcy, intellectual property rights, licensing, zoning laws); and proceeding as required when on notice of a governance issue. Developing and fostering relationships as business partners with client by understanding the global business goals and objectives; providing business related input; monitoring operational and financial performance; and supporting the implementation of the company business objectives. Manages financial resources and processes by reviewing and approving invoices; and planning, forecasting, establishing, and managing budgets. Should have Law degree from an accredited law school. License to practice law in at least one state. Must have 11+ years of legal experience post-degree.
