ProfileCorporate Counsel, Corporate Transactions The candidate will support firm's transaction activity globally including real-estate, mergers & acquisitions, and procurement support, and will support the preparation of public company filings with the SEC. Under direction of the VP and Chief Counsel, will provide strategic, practical advice and proactive, results-focused guidance globally, throughout the enterprise. Direct responsibility for firm's commercial real estate transactions, be a primary point-of-contact for all legal matters involving firm's’s leased and owned properties, requiring to review and draft leases, lease amendments and related agreements, tenant estoppel certificates, SNDAs, as well as evaluate legal and business risks and advise firm's leasing professionals, operations and facilities personnel and other internal clients on complex real estate legal matters. In addition, be a part of the firm's Legal and Corporate Development M&A deal team involved in the day-to-day evaluation, discussion, analysis, drafting and negotiation of proposed acquisition transactions and transaction documents, such and confidentiality and non-disclosure agreements, letters of intent, purchase agreements, transition services agreements and other ancillary merger and acquisition transaction agreements. Have responsibilities for M&A due diligence activities. Assist in the drafting and review of the firm's annual proxy and other periodic SEC filings. Assist in drafting and negotiating hardware, software, services and other supplier agreements with firm's strategic suppliers. As a valuable member of the firm's Legal department, partner directly with members of the executive leadership team, operations, and members of the company’s legal department around the globe on numerous complex commercial issues. Provide proactive advice on legal and regulatory matters that affect the company and the clients support, including research and monitoring of legal and legislative developments domestically and internationally that impact business.
Qualification and Experience
The candidate should be Graduate of an accredited law school and admission to practice in at least one jurisdiction. Must have 1-3 years of experience in practicing law. Must be familiarity in real estate leases, supplier contracts and other commercial contracts.
