Senior Paralegal The candidate will be responsible for working with the Senior Vice President, General Counsel and Corporate Secretary to manage Board matters, corporate governance, and general corporate legal matters. Coordinate corporate secretarial services to the Board of Directors in support of all board and committee meetings, activities, and governance including preparation, distribution, and management of board meeting notices, agendas, minutes, written consents, resolutions, certifications, director compensation, and delegations of authority. Collect, assemble, and publish all board and committee meeting materials electronically in board portal and in paper format, as required. Draft, finalize, and maintain minutes of all board and committee meetings, corporate minute books, action item lists, directors’ handbook, and dividend documentation. Ensure the minutes of the Board’s actions during Board meetings reflect the proper exercise of fiduciary duties. Ensure Board members have the proper advice and resources to discharge their fiduciary duties to shareholders under applicable laws and regulations. Manage board portal and vendor relationship. Manage all logistics for board meetings and activities. Manage all logistics for annual meeting, including proxy solicitation process and facilities. Manage all activities related to new director orientation and director retirements. Assist with SEC filings and reporting requirements, corporate policies, legal projects, and other corporate legal matters, as required. Maintain and amend, as appropriate, Corporate Articles and Bylaws. Must have Associate degree and Paralegal certificate. Should have 10+ years’ experience as a paralegal in a corporate legal department or law firm, or legal secretary with a paralegal certification. Extensive experience supporting public company corporate governance and corporate secretarial matters is required. Proficient computer skills required including Microsoft Office Suite is needed.
