Credit And Finance Corporate Counsel The candidate will be drafting, reviewing and negotiating credit enhancement documents, including parent guarantees, standby letters of credit and bank guarantees; supporting firm’s credit team in managing credit limits of customers and carriers; drafting and negotiating security agreements, licenses and related contracts; supporting firm’s education and enterprise product leasing initiatives on a worldwide basis; and reviewing numerous other contracts and arrangements from a credit and a bankruptcy-protection perspective, all in multiple jurisdictions. Must have a JD degree or equivalent. Should have a strong background in secured transactions, commercial creditor work and creditor rights. Experience with international insolvency regimes, international bank collateral and enforcement of corporate guarantees preferred. Should have 4-8 years of creditor rights, secured transaction and bankruptcy experience. Must be a member in good standing of the bar and possess excellent academic credentials. Should have experience leading negotiations and structuring large, significant deals, and is a self-starter, with the initiative to move projects forward without significant oversight, but with a strong understanding of when to escalate/involve others.
