ProfileAssistant General Counsel (SBU) The candidate will provide legal advice, risk mitigation and other advice to the company and senior leadership as it relates to commercial business, strategy and operational matters of the company's Products Strategic Business Unit (SBU). Will serves as a member of the Products SBU leadership team, working closely with leaders on matters affecting the SBU (which consists of the company's to be acquired Halyard Health S&IP business, its kitting operations and its private-label portfolio). Guides business leaders and relationship managers in the legal requirements of the business, providing value-added insights based on subject matter expertise in the area of risk mitigation and commercial business. Able to leverage the global legal team for support in non-core areas (employment law, litigation, IP, regulatory, etc.) and other geographies (EMEA and APAC). Works independently and in teams to identify and advise on legal, business and strategic issues; recognizes and clearly articulates legal and other risks; counsels and advises senior management on risk assessments of activities and mitigates risks pragmatically. Drafts, reviews, negotiates and interprets agreements, including distribution, supply and services agreements related to medical device/products business; develops and enhances contract templates and guidelines, to ensure contract language meets legal requirements and is designed to mitigate risk/liability to the Company. Develops a thorough understanding of the company's business, its people, products, customers and competitors to provide strategic guidance to internal clients. Advises senior management on legal issues related to mergers & acquisitions, new business ventures or other strategic transactions. Assists in the design, implementation, and maintenance of contracts management system and associated processes ensuring that all agreements are archived rationally and that contract obligations, deadlines, and expirations are tracked and managed appropriately. Provides legal support across the organization over a broad variety of issues, including identifying practical solutions that balance the risk/benefit for the company. Assists General Counsel and Associate General Counsel, Americas, with developing, implementing, and improving processes and systems to increase the efficiency of the legal department. Manages outside counsel on certain matters. Leads and mentors junior attorneys and paralegal staff. Depending on experience, supports legal activities in other substantive areas, as needed. Supports the organization in maintaining a work environment focused on quality and that fosters learning, respect, open communication, collaboration, integration, and teamwork. Performs additional duties as directed.
Qualification and Experience
The candidate should have Juris Doctorate degree. Admission to Georgia state Bar required. Must have 7+ years of legal experience (majority experience practicing law related to pharmaceutical, device and/or healthcare required). 2+ years at a US top tier law firm and in-house experience preferred. Must have in depth knowledge of best legal practices and business legal strategies. International regulatory experience/exposure is preferred. Experience contracting with Group Purchasing Organization (GPO) and healthcare providers preferred. Healthcare compliance experience preferred. Experience with mergers & acquisitions (M&A) preferred.
