A law firm seeks a skilled and collaborative Corporate Attorney to join its Columbus, OH office. The ideal candidate will bring at least four years of experience in M&A, ideally as private equity buy-side counsel, and be eager to expand their expertise in M&A while contributing to a fast-growing practice with leadership and business development opportunities. This hybrid role offers exposure to a wide range of transactions, including those involving representations & warranties insurance (RWI), as well as the chance to work alongside a high-performing team in the M&A space.
Duties:
- Lead M&A due diligence efforts and serve as a key negotiator in transactions, especially those involving RWI.
- Contribute to and collaborate with a Tier 1 Private Equity M&A deal team, while also independently managing RWI transactions.
- Coordinate cross-functional teams of experts to resolve complex deal-related issues.
- Use modern tools and technology to streamline deal processes and improve the quality and efficiency of work products.
- Play an active role in business development, cultivating relationships and pursuing opportunities to grow the practice.
- Provide strategic advice on M&A transactions, including managing client relationships and guiding junior team members.
Requirements:
- At least 4 years of experience as a transactional attorney, with a focus on M&A, preferably in private equity buy-side deals.
- Experience in managing M&A due diligence and negotiations, including the integration of RWI in transactions.
- Proficiency in modern collaboration tools such as Teams, Office 365, and similar platforms.
- Strong business development acumen and a growth-oriented mindset in both practice and client engagement.
- Ability to lead complex transactions and work effectively with a variety of teams and stakeholders.
- Excellent problem-solving, communication, and organizational skills.
Education:
- Juris Doctor (.) from an accredited law school.
Certifications:
- Admission to the OH State Bar (or eligibility to become licensed).
Skills:
- Proven leadership in M&A due diligence and transaction management.
- Strong knowledge of private equity transactions, particularly buy-side deals.
- Effective communication and negotiation abilities.
- Experience with RWI in M&A transactions is a plus.
- Proficiency in using technology and collaborative tools to enhance productivity and deal efficiency.
