Legal Counsel - Employment
The candidate will act as primary counsel to various domestic legal issues, including, human resources, contract review, providing general legal advice, and working independently on assigned projects. Handle matters involving franchisees and franchisee compliance and the review and negotiation of vendor and purchasing contracts. Lead company initiatives involving government relations. Participate in negotiations on behalf of the organization and may represent the organization in litigation matters. Provide guidance and direction for employment legal issues, including drafting and implementing policies in accordance with federal and state law. Handle domestic legal franchise matters, including drafting franchise agreement, FDD and compliance issues. Collaborate with Government Relations, as needed and lead company initiatives involving government relations and manage multiple strategic projects for the company(ies). Prepare and review various legal instruments and documents, including commercial contracts, leases, licenses, purchases sales, real estate, etc. Review legal publications and pending legislation and advises management of changes that impact the operations organization. Monitor emerging legal trends and rulings. Draft and negotiate complex or critical agreements and reviewing and negotiating agreements prepared by others. Research and draft policies for approval. Assist with implementation as needed. Provide guidance to legal assistants that includes coaching, mentoring, technical assistance and quality of work. Negotiate contracts, manage and oversee external counsel. Develop and maintain comprehensive and in-depth knowledge of a particular content area, with broad reach in several other specialties. Interpret laws, rulings, and regulations for organization and insures the organization is compliant with relevant laws, regulations, and contractual obligations. Conduct research and analysis of specific legal questions and scenarios and prepare a response. Handle other legal matters as assigned by the Vice President, General Counsel. Assist with budget forecasting and process. Provide support to other legal team members.

Qualification and Experience

The candidate should have a Bachelor's degree with a Law degree from an accredited law school and admission to the Bar. Must have 7+ years of experience working in a law firm or corporate legal department with experience in general commercial, compliance, litigation and franchise law. Prior experience leading, mentoring, counseling and coaching a legal administrative staff is required. Prior experience leading, mentoring, counseling, performance managing legal administrative staff is needed. Should have experience in crisis management and providing leadership and direction to develop fast, effective techniques to mitigate risks.
