ProfileParalegal The candidate will assist with drafting documents, i.e., confidentiality agreements, distribution agreements, product registration documents, intellectual property agreements and registrations, etc. Will assist with preparation of confidential documents and maintain that confidentiality. Liaise with country managers, sales reps, and Human Resources to complete contract checklists. Assist with authentication of documents, i.e., notarial certification, legalization, etc. Facilitate and coordinate contract signatures. Complete green sheets once contracts are signed. Conduct legal research and perform searches when required using various databases, which may include Securities and Exchange Commission filings, patent and trademark office records and intellectual property search and analytic tools. Assist in compiling summaries, articles and abstracts. Assist Customer Service with gathering documents to support EMEA tenders. Update online docketing database, as well as physical filing. Support merger and acquisition due diligence, intellectual property clearances, infringement reviews, and intellectual property portfolio analysis. Liaise with Human Resources and payroll providers regarding filing of necessary employee documentation. Provide Human Resources and Accounting support regarding employee relations, benefits, payroll and bank account issues. Review and code bills in electronic database (e.g., LegalTracker). Establish and maintain effective systems for the management of correspondence, contracts and other documentation. Prepare expense reports and monitor/track outside counsel performance, fees, expenses and budgets. Manage internal and external appointments, meetings and events, prepare agendas for executive reporting meetings and organize travel and other necessary arrangements. Maintain and organize files. Manage special projects on an as needed basis. Evaluate processes and identify opportunities for continuous improvement. Performs a variety of related tasks, as required.
Qualification and Experience
The candidate should have an education and/or experience equivalent to a related Bachelor's degree, paralegal certificate or equivalent experience. Must have 2+ years of experience in a paralegal role. Experience working with governmental agencies, such as the USPTO, SEC and corresponding foreign agencies essential. Must have computer skills preferably spreadsheets, online billing systems, word processing, database and other applicable software programs.
