General Counsel-Part Time The candidate reports to the Chief Executive Officer (CEO) of Heritage Health and Housing, Inc. (HHH), with frequent interactions with the members of the senior management team, and the Board, exercises management responsibility over the legal affairs of HHH by, providing counsel as requested and directed on the legal impact of organizational decisions and negotiations. Provides the legal infrastructure for the organization to include: policy and procedure, legal operating guidelines, legal compliance review, consultation and training on a variety of issues to ensure the organizations compliance. Review leases and lease renewal documentation, including to the new Occupancy Agreement.Prepare lease documentation and Occupancy Agreement packages for signature by both the tenant and housing department. Assist with the annual re-certifications and complete lease renewal packages. Prepare, serve, submit filings and pleadings, and assist with oral and written arguments and negotiations for certain tenants . Investigates and evaluates the legal implications and impact of legal compliance issues, and recommends operational changes or alternative policies and procedures.Provide legal analysis and guidance to the CEO, Boar and key professional staff on HHH activities, including but not limited to, all vendor/consultant agreements, leases, litigation, compliance, employment and labor law issues, and regulations and restrictions pertaining to tax-exempt status. Draft and/or review legal documents, including employment contracts for senior level staff medical staff, commercial leases and contracts, charitable registrations and compliance, and negotiate the terms of such agreements.Receives and investigates inquiries from other executives on matters related to taxes, employment, contracts, insurance, risk management, licensing, and organization policy. Establish relationships and works with outside attorneys to provide counsel to all senior management staff and to obtain technical assistance and pro-bono legal services in all areas affecting the agency, including real estate, labor, litigation, tax, and not-for-profit law. Monitor corporate governance including reviewing and monitoring HHH Bylaws, ensuring compliance with Bylaw provisions, and recommending adjustments, where needed, to comply with NY, and federal non-profit corporation laws. Work closely with lay leaders on governance issues. Manages all litigation filed against HHH and Affiliates, including coordination with and oversight of outside counsel and applicable insurance carriers. Serves as an expert resource to the Board and its committees on the organization’s legal structure and governance. Monitors and oversees compliance with all laws and regulations affecting HHH’s 501(c)(3) and non-profit status. Advise on such other legal matters and serves on such other regular or ad hoc committees as may, from time to time, be appropriate. Develop and present relevant internal policy training materials. Selects and directs the activities of outside counsel retained to represent the organization. Provides training for the staff and affiliates on legal aspects of issues encountered in the conduct of their business.
Qualification and Experience
The candidate should have 3+ years of experience in NYC housing/landlord-tenant court and experience representing non-profit organizations in multiple capacities. Should have JD degree. Current Bar membership in New York is required. Should have excellent written and verbal communication skills knowledge of contract, employment, , trademark, real estate, , tax, fundraising, corporate, invasion of privacy, libel and not-for-profit law extensive non-profit experience on staff or involved as a senior lay leader. Some knowledge of leases and contracts is important. Knowledge of computerized legal research is essential. Excellent organizational skill is essential.
