A law firm is seeking a Mid-Level Corporate and Business Transactions Associate Attorney for their Philadelphia, PA office. The ideal candidate will have 4 years of law firm experience with life science transactions, including drafting and negotiating collaboration agreements, license agreements, supply and other operational agreements (., CDA/NDAs, MTAs, SRAs, CTAs, MSAs, etc.), and product purchase and sale agreements. Candidates with 2+ years of experience as in-house counsel for a life sciences industry company and a strong desire to focus on life sciences transactions would also be considered.

Duties:

• Drafting and negotiating collaboration agreements
• Drafting and negotiating license agreements
• Drafting and negotiating supply and other operational agreements (., CDA/NDAs, MTAs, SRAs, CTAs, MSAs, etc.)
• Drafting and negotiating product purchase and sale agreements
• Conducting legal research related to life science transactions
• Providing legal advice and support to clients on corporate and business transaction matters

Requirements:

• Juris Doctor (JD) degree from an accredited law school
• Admission to the Pennsylvania State Bar (or eligibility for admission by waiver)
• 4+ years of law firm experience with life science transactions
• Strong understanding of corporate and business transactional law
• Excellent drafting and negotiation skills
• Ability to work independently and collaboratively in a fast-paced environment
• Exceptional communication and interpersonal skills

Education and Certifications:

• Juris Doctor (JD) degree from an accredited law school
• Admission to the Pennsylvania State Bar (or eligibility for admission by waiver)
