ProfileAssociate General Counsel – Transactional The candidate will assist in providing in-house legal services to firm. Support firms Business Development Team in connection with corporate transactions, including acquisitions, mergers, joint ventures and divestitures, by providing guidance on deal structure and process, including identifying risks and proposing alternative solutions as needed. Perform due diligence, support post-closing integration activities, draft and negotiate transactional documents, prepare and submit materials to governmental bodies as necessary, perform legal research on various state licensing requirements, Medicaid/Medicare enrollment and Certificate of Need issues. Provide legal support to firm and its subsidiaries including directly advising our Chief Executive Officer, Chief Legal Officer, Chief Operating Officer, Chief Financial Officer, Chief Compliance Officer and other executive leadership members on legal issues in their respective lines of business. Oversee daily operations of firm Legal department for the Company and its subsidiaries, including operations in forty-two states, Canada, and Puerto Rico. Draft, review and negotiate contracts of substantial complexity for firm and its subsidiaries, with numerous public and private entities, including health care providers, vendors and government agencies. Achieve operational and cost efficiencies through workload management between in-house and outside counsel. Help to build and maintain a “best in class” legal team. Respect and appreciate firm’s mission. The mission defines the culture of firm and the Associate General Counsel should promote and communicate the mission while providing services. Must have Juris Doctor degree from an accredited law school and member of good standing with the Kentucky Bar Association or licensure in another state with eligibility for licensure in Kentucky. Should have 1+ year of relevant transactional experience. Ability to analyze legal problems and provide efficient and effective legal services and advice is required. Strong oral and written communication skills is needed.
