Corporate Counsel The candidate provides a wide array of legal services required to protect and further interests. Researches and interprets assigned legal issues, assesses impact on company operations, and evaluates available legal resources. Drafts and/or reviews impact of legal documents related to company activities and provides written and oral opinions outlining legal exposure and risks. Drafts and reviews contracts and other transactional documents relating to all aspects of company operations and administration – e.g. acquisitions/mergers, joint ventures, land use and development, real estate purchases/sales/leasing, physician/ employment/recruiting/contracting, IT products and services, and other matters. Develops and updates contracting templates, terms and conditions, and related materials to support contracts across the system. Advises on corporate governance issues, drafts articles of organization/incorporation, bylaws, and other corporate documents, and assists with memoranda, presentations, and other documents to inform directors/trustees and executive leadership on legal issues. Represents company in, and monitors the progress of, legal proceedings and disputes, drafts pleadings, briefs, and other filings and documents, retains and consults with experts, manages discovery, and handles all other aspects of such proceedings and disputes. May include appearances on behalf of company in courts of law, administrative tribunals, agency proceedings, mediation/arbitration/alternative dispute resolution, pre-litigation discussions and settlements, internal discussions and strategy, and various other legal disputes and adversarial proceedings. Assists with investigations relating to government subpoenas, search warrants and investigations, self-disclosure protocols, investigating and reporting suspected criminal conduct, and other investigations. Counsels and provides legal advice, research, and interpretations pertaining to company operations, transactions, and system improvement and development. In doing so, confers with senior management and, utilizing available resources and professional knowledge, prepares legal documents, reports, and position papers substantiating company’s position. Assists in the management of outside counsel and firms. In doing so, acts as a liaison between outside counsel and employees and contractors of company. Monitors and promotes the efficient and cost-effective use of resources, assists in the management of legal budgets, and supports outside counsel and firms in their provision of legal services to company. Supports legislative, regulatory, and public policy advocacy on behalf of company. In such supporting role, assists in developing and drafting of company-sponsored or supported legislation and amendments to pending state legislation, evaluating the effect of pending legislation and regulations on company, drafting comments and amendments to proposed state regulations, recommending copany’s position, and advocating company’s position when called upon. Supports, advises, promotes and advocates for staff; provides opportunities for professional and technical growth. Motivates staff; defines priorities and communicates organizational goals and works with them to achieve them; seeks commitment from staff, encourages innovation and team building/planning. Should have juris doctor (JD) degree and 5 years of healthcare legal experience. Licensure required as an Attorney by the State of Michigan.
