The ideal candidate will have specific experience in tax equity financings for renewable energy projects, tax credit transfer transactions, and the structuring of M&A deals. This role requires a highly motivated individual with a strong academic background, excellent legal research, and writing skills, and a commitment to the renewable energy sector.

Key Responsibilities

  • Tax Equity Financing:
    • Advise clients on tax equity structures for renewable energy projects, including wind, solar, and other alternative energy investments.
    • Structure and negotiate tax equity investments, ensuring compliance with applicable tax laws and regulations.
    • Handle tax credit transfer transactions and advise clients on tax credit eligibility and structuring.
  • M&A Transactions:
    • Structure and negotiate mergers and acquisitions related to renewable energy projects and other tax-sensitive investments.
    • Collaborate with the corporate and finance teams to integrate tax strategies into larger M&A transactions.
    • Provide counsel on tax implications of project acquisitions, financing, and sales.
  • Client Advisory and Transactional Support:
    • Provide tax and legal advisory services to corporate clients, financial institutions, and renewable energy developers.
    • Draft and review legal documentation related to tax equity transactions, partnership agreements, and investment contracts.
    • Assist clients in identifying and mitigating tax-related risks in complex transactions.
  • Regulatory Compliance:
    • Stay updated on tax regulations and policies affecting renewable energy incentives, including the Investment Tax Credit (ITC) and Production Tax Credit (PTC).
    • Advise clients on compliance with state and federal tax laws applicable to renewable energy projects.

Requirements

  • Experience:
    • Must have 3+ years of experience in structuring and negotiating M&A transactions.
    • Prior experience in tax equity financings for renewable energy projects is required.
    • Experience with tax credit transfer transactions is preferred.
  • Education:
    • Juris Doctor (JD) degree from an accredited law school.
    • Exceptional academic credentials, particularly in tax law or a related field.
  • Licenses/Certifications:
    • Must be admitted to practice law in California or eligible for admission.

    • Strong legal research skills, particularly in tax law and energy-related regulations.
    • Excellent drafting, negotiation, and analytical writing skills.
